Terms & Conditions

Welcome to Balihoo Productions (“Balihoo,” “we,” “our,” or “us”). These Terms & Conditions are designed to clearly outline how we work together and to ensure a positive, transparent experience for everyone involved.

By engaging Balihoo Productions for services, you agree to the terms outlined below.

 

Services & Engagements

Balihoo Productions provides creative, marketing, branding, and related professional services on a project-based and/or monthly retainer basis, as outlined in individual proposals, statements of work, or written agreements.

Specific deliverables, timelines, and pricing will always be defined in writing and approved prior to the start of work.

 

Payment Terms & Late Fees

We aim to keep billing simple, fair, and transparent.

Unless otherwise stated in writing, all invoices are due within thirty (30) days of the invoice date.

If payment is not received within thirty (30) days, the outstanding balance will be considered past due. Past-due invoices will incur a late fee of one and one-half percent (1.5%) per month, calculated on the unpaid balance, beginning on the 31st day after the invoice date and applied every thirty (30) days thereafter until paid in full.

We value our client relationships and will make reasonable efforts to communicate before any late fees are applied. However, Balihoo Productions reserves the right to pause or suspend work on active projects or retainers if an account becomes significantly past due, until payment is brought current.

Clients are responsible for any reasonable costs incurred in the collection of overdue balances, where permitted by law.

 

Retainers

Monthly retainers are billed in advance and cover a defined scope of work as outlined in the agreement. Retainer fees do not roll over unless explicitly stated in writing.

Either party may request adjustments to the scope with written notice. Any approved changes may result in updated pricing or timelines.

 

Project-Based Work & Scope Changes

Project pricing is based on the agreed-upon scope at the time of approval. If additional work is requested beyond what was originally outlined, Balihoo Productions will provide a revised estimate or change order for approval before proceeding.

Work outside the approved scope will not begin without written confirmation from the client.

 

No Surprises & Scope Changes

We believe in clear expectations and no surprises on either side.

Each project or retainer is scoped and priced based on the specific deliverables, timelines, and assumptions outlined in the approved proposal or agreement. If needs evolve or additional work is requested, we’ll always discuss it first.

Before moving forward with any out-of-scope work, Balihoo Productions will:

  • Clearly explain what’s changing

  • Outline any impact on timelines or pricing

  • Obtain written approval before proceeding

No additional work, fees, or timeline changes will be introduced without clear communication and written approvalfrom the client.

Requests that significantly alter project direction, scope, or timelines may require a revised proposal or a new agreement.

 

Client Responsibilities

To keep projects running smoothly, clients agree to:

  • Provide timely feedback, approvals, and materials

  • Ensure all supplied content, assets, and information are accurate and legally usable

  • Designate a primary point of contact for approvals and communication

Delays in feedback or approvals may impact project timelines and delivery dates.

 

Intellectual Property & Ownership

Upon full payment of all invoices, clients will own the final, approved deliverables created specifically for them, unless otherwise stated in writing.

Balihoo Productions retains the right to showcase completed work in portfolios, case studies, social media, and marketing materials unless the client requests otherwise in writing.

Working files, source files, concepts, and unused designs remain the property of Balihoo Productions unless explicitly transferred as part of the agreement.

 

Revisions & Approvals

Reasonable revisions are included as outlined in the project scope. Excessive revisions or changes outside the agreed scope may incur additional fees.

Client approval of final deliverables constitutes acceptance of the work as complete.

 

Termination

Either party may terminate an engagement with written notice, subject to any minimum commitment or notice period outlined in the agreement.

In the event of termination:

  • All work completed to date will be invoiced and payable

  • Any outstanding invoices remain due

  • Deposits and retainers are non-refundable unless otherwise stated in writing

 

Limitation of Liability

Balihoo Productions will not be liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.

Our total liability for any claim related to services provided will not exceed the total amount paid by the client for the services giving rise to the claim.

 

Confidentiality

Both parties agree to keep confidential information shared during the course of the engagement private and not disclose it to third parties, except as required by law.

 

Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the state in which Balihoo Productions is registered, without regard to conflict of law principles.

 

Updates to These Terms

Balihoo Productions may update these Terms & Conditions from time to time. The most current version will always be available on our website.
